Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and DORI LLC (“Dori,” “we,” “us,” or “our”) governing your use of the Dori mobile application (the “App”). By creating an account or using the App, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the App.
Description of Service
Dori is a platform that provides branded loyalty and community features for independent coffee shops. Through the App, you can earn and redeem loyalty points at participating shops, refer friends, and engage with shop-specific community content. Dori is not a coffee shop; it is a technology platform that operates on behalf of participating shop operators.
Eligibility
You must be at least 13 years old to create a Dori account. By using the App, you represent that you meet this requirement. If you are between 13 and 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
Your Account
- You are responsible for maintaining the security of your account credentials.
- You agree to provide accurate and current information during registration.
- You may not share your account with others or create accounts on behalf of others without authorization.
- You may delete your account at any time via App settings.
- We reserve the right to suspend or terminate accounts that violate these Terms.
Loyalty Points and Rewards
Earning Points
Points are awarded based on qualifying purchases at participating coffee shops, as determined by each shop's loyalty program configuration. Point values and earning rules may vary by shop and may change at the shop operator's discretion.
Redeeming Rewards
Points may be redeemed for rewards as specified in each shop's program. Rewards have no cash value and are non-transferable unless expressly stated. Dori is not responsible for the fulfillment of rewards, which are the sole responsibility of the participating shop operator.
Referral Rewards
Referral rewards are credited when a referred user creates an account and completes their first qualifying purchase at a participating shop. Rewards are not credited for app downloads alone. Referral fraud or abuse (including self-referrals, fake accounts, or manipulation of referral codes) will result in forfeiture of rewards and may result in account termination.
No Cash Value; Program Changes
Loyalty points and rewards have no monetary value, cannot be exchanged for cash, and are not your property. Point expiration, if any, is determined by each participating shop's program configuration and may depend on their point-of-sale system. Participating shops may modify or discontinue their loyalty programs at any time. Dori may modify the mechanics of the loyalty platform with reasonable notice.
Community Features
Community Board
Some shops may enable a community board where users can post text and images. By posting to a community board, you grant the participating shop operator and Dori a non-exclusive, royalty-free license to display your content within the App.
Acceptable Use
You agree not to post content that is:
- Illegal, defamatory, harassing, threatening, or abusive
- Spam, advertising, or commercial solicitation
- False, misleading, or impersonating another person
- Infringing on any third party's intellectual property rights
- Sexually explicit or graphically violent
We reserve the right to remove content and suspend accounts that violate these standards.
Prohibited Conduct
You agree not to:
- Attempt to reverse engineer, decompile, or tamper with the App
- Use automated means (bots, scrapers) to interact with the App
- Manipulate loyalty points, referrals, or rewards through fraudulent means
- Interfere with the App's infrastructure or other users' experience
- Use the App for any unlawful purpose
Intellectual Property
The App and all content created by Dori — including the name, logo, UI design, and software — are owned by DORI LLC and protected by applicable intellectual property law. These Terms do not grant you any ownership rights in the App.
You retain ownership of content you post (e.g., community board posts) but grant Dori a limited license to display it as described above.
Third-Party Services
The App integrates with third-party point-of-sale systems (e.g., Square) and may link to coffee shops' external websites or social media. Dori is not responsible for the practices of these third parties, and your use of their services is governed by their own terms and policies.
Disclaimers
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DORI DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. YOUR USE OF THE APP IS AT YOUR SOLE RISK.
Dori is not responsible for the quality, availability, or accuracy of products, services, or promotions offered by participating coffee shops.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DORI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING LOSS OF LOYALTY POINTS OR REWARDS. DORI'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) $50 OR (B) THE AMOUNT YOU PAID TO DORI IN THE 12 MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Dori and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. We encourage you to contact us first to resolve any dispute informally. If a dispute cannot be resolved informally, it shall be submitted to the courts of competent jurisdiction in the State of Delaware, and you consent to personal jurisdiction in those courts.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via in-app notification or email at least 14 days before the changes take effect. Continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
Termination
We may suspend or terminate your access to the App at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the App ceases. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and governing law) will do so.
